TERMS OF USE

1. Object and scope

1.1 These terms and conditions ("Terms and Conditions") establish the rules for accessing and using the LSB website ("Website"), available at www.lusospeakersbureau.com.

1.2 The Website is owned and operated by Luso Speakers Bureau, headquartered at Rua José Gomes Ferreira, 115, 3.02, 4150-442 Porto, with share capital of €500, with Tax Identification Number 517449773 (“LSB”).

1.3 By using the Website, you acknowledge that you are accepting these Terms and Conditions. If you do not agree with any of the rules of use established in these Terms and Conditions, you must refrain from using the Website.

2. General rules for using the Website

2.1 When using this website, the following general rules must be observed:

(a) The Website must not be used for purposes that are not permitted, illegal or offensive to public order or good customs;

(b) The Website must not be used to make available, send or transmit any content that is illegal, threatening, malicious, abusive, defamatory, injurious, invasive of privacy, racially, ethically or morally objectionable, harmful or offensive to the dignity of persons, or to the LSB, or harmful to minors;

(c) The Website must not be used to send or make available information or content belonging to third parties, such as, for example, content protected by third party copyright;

(d) Information about other users (including usernames and/or email addresses) must not be collected, stored, made available, transmitted, exploited or reproduced for unauthorized purposes;

(e) False or misleading information that violates the rights of third parties or without the necessary authorizations must not be made available or sent;

(f) The User must not impersonate another User or entity, and must not receive anyone as a host, nor falsely testify to parentage or connections with anyone;

(g) The User must not access, or attempt to access, the Website through means other than those made available on it, nor use modified forms of software with the aim of, namely, obtaining unauthorized access to any part of the Website;

(h) The User must not remove any copyright, trademark or property rights notices, and must respect the rights of third parties and LSB, namely intellectual property;

(i) The User must not proceed with the modification, recompilation, reproduction or any form of unauthorized use of the Website;

(j) The User must not make available or transmit any unsolicited or unauthorized content as SPAM nor collect, make available, transmit or exploit information about other users for unauthorized purposes;

(k) The Website must not be used to make available or transmit, intentionally or negligently, any type of material that contains or may contain viruses, worms, defects, Trojan horses or other item or computer codes, files or programs that are susceptible to interrupt, destroy or limit the functionality of any computer equipment or system (hardware or software) or communications equipment;

(l) The User must not use or exploit, for commercial purposes or in any way paid for, the Website, including its contents, materials, functionalities or resources, except as expressly permitted by these Terms and Conditions or by LSB;

(m)The User must not perform any acts that may cause damage, put at risk, disturb or degrade the integrity, continuity or quality of the Website, including in particular i) violation of authentication or security systems that protect access accounts, servers , services or networks, ii) unauthorized access or obtaining of any third party data, personal or otherwise, being prohibited any type of Phishing practice, iii) unauthorized research of vulnerabilities or deficiencies in access accounts, servers, services, networks, in particular the detection systematic response to services (Scan), iv) entry into computer systems, services or networks without the express authorization of those responsible or holders (Break In); v) overload actions that aim to sabotage or sabotage the functioning of the Website (Denial of Service) and vi) illegal or undue interception and/or interference (and attempt to) in any data, systems or equipment not being authorized to do so.

2.2. The user must also use the Website in a responsible, prudent and careful manner and must not disturb or degrade the continuity, integrity and quality of its resources and functionalities.

2.3. 3.1. The Website, the contents that compose it, (texts, images, graphics, sound and animation and all other information and the way in which they are graphically represented on the Website), its structure, organization and presentation of its content, including its functionalities and software used in it (together with any modifications, improvements, refinements, updates, new versions and customizations), as well as the brands, logos and symbols presented on the Website and, also, all content and information made available on the Website (“ Intellectual Property"), are the exclusive property of or have been licensed to LSB.

3.2. The user acknowledges that the contents and other information made available on the Website are protected by intellectual property rights and undertakes to respect such rights.

3.3. Users may only use Intellectual Property under the following terms:

(a) The use in any way, including reproduction, distribution, disclosure, communication to the public, making available to the public, of the Intellectual Property, for any purposes that are not strictly personal, namely commercial, without the prior written authorization of LSB or as permitted by these Terms and Conditions and the Website, is expressly prohibited;

(b) Modification or integration of Intellectual Property into other contents or materials, without prior written authorization from LSB, is expressly prohibited;

(c) The use, reproduction or representation of all or part of any corporate names, brands or other distinctive signs reproduced on the Website is strictly prohibited and must be subject to prior written authorization from LSB or the holder of the trademark registration.

3.4. LSB is responsible for managing the design, layout and layout of all information, content and materials on the Website, whereby LSB may, at any time, update, modify or delete any content, options or functionalities, as well as modify its presentation and configuration and change their URLs.

6. Liability of LSB

6.1. LSB is solely responsible for administering and managing the Website.

6.2. LSB can only be held responsible for facts that are attributable to it by way of fraud or serious negligence.

6.3. LSB will not be liable for lost profits, moral or image damage or for facts that are not attributable to it, especially in situations of unforeseeable circumstances or force majeure.

6.4. LSB is also not responsible for damages or losses that may result from:

(a) Use or impossibility of using the Website, including, in particular, delays, interruptions, errors, interference and suspension of communications, omissions, viruses, bugs, and even malfunctions and/or malfunctions of the electronic, computer or telecommunications system ;

6.5. LSB no longer guarantees nor is responsible, in any way:

(a) Due to the identity, capacity or good faith of any user of the Website;

(b) For the contents and information made available on the Website relating to events, speakers or other third parties, not carrying out any prior inspection of them - and therefore does not assume any responsibility for the quality, lawfulness, reliability, veracity, accuracy, timeliness and accuracy of the contents and information made available, nor to ensure that they do not violate applicable legal provisions or third party rights;

6.6. The user undertakes to fully reimburse LSB for any compensation, costs or expenses that it may incur as a result of any claims of any kind or nature that are directed against it by third parties or others users, based on damages resulting from the breach of these Terms and Conditions by the user or based on the violation of third party rights, including compensation paid to third parties pursuant to this.

7.1. LSB may provide links to pages of other entities. These sites do not belong to, are not operated or controlled by LSB, and therefore LSB is not responsible, approves or in any way supports or subscribes to the content of these sites, or the sites linked to or referred to therein. The establishment of links does not imply, under any circumstances, the existence of relations between LSB and the owner or manager of the website to which the link refers.

7.2. For the above, LSB is not responsible for the legality, reliability or quality of any content made available there, nor for compliance with the applicable legal rules in relation to the content and information available there, and the use of these links is the sole responsibility of the users.

8. Warranties

8.1. The Website was developed with the interests of users in mind.

8.2. However, LSB does not guarantee that:

a) The results obtained through the use of the Website are correct, true, proper or reliable;

b) Any advice, recommendation or information of any kind, provided by LSB, presented or made available on the Website, or obtained through its use, whether current, accurate, complete or free from errors - LSB informs that it does not assume any legal duty in this matter;

c) Any material or other content made available by third parties through the Website is safe, legal or appropriate;

d) The qualities, functionalities or characteristics of the contents, information or other materials or elements disclosed on the Website, fulfill any need or expectation of users or serve their specific purposes.

8.3. The information made available by LSB on the Website should not be understood as any form of advice or recommendation.

9. Suspension or termination of the Website

9.1. LSB may also, at any time and without notifying Website users:

(a) Suspend, partially or totally, access to any part of the Website, in particular in the operations of management, maintenance, repair, alteration or modernization thereof;

(b) Close, definitively or temporarily, partially or totally, any part of the Website.

9.2. LSB may also restrict, at its discretion, access to any part of the Website or subject it to strategic or commercial constraints.

9.3. The suspension or closure of the Website, for whatever reason, does not entitle users to receive any indemnity or compensation, in any capacity whatsoever, from LSB.

11. Final provisions

11.1. LSB reserves the right, at any time, without prior notice and with immediate effect, to change, add, update or eliminate, partially or totally, these Terms and Conditions.

11.2. If any of the provisions of these Terms and Conditions is declared null, ineffective, becomes annulled, or is not, in any way, enforceable, this will not affect the validity or effectiveness of the remaining clauses, which will remain fully in force.

11.3. Without prejudice to the applicable mandatory rules, Portuguese law is applicable to all matters regulated by these Terms and Conditions, and in the event of a dispute arising from their interpretation or application, the Judicial Court of the Comarca do Porto, with express waiver of any other.
